These Terms & Conditions (“Terms”) govern access to and use of the Gramacri platform, website, subscriptions, educational resources and related services (“Platform”).

By accessing or using the Platform, users agree to be bound by these Terms.

2. Definitions

“Gramacri”, “we”, “us” or “our” refers to Gramacri Ltd.

“User” means any individual accessing or using the Platform.

“School” means an educational institution holding an active subscription or licence.

“Content” includes all resources and materials made available through the Platform, including but not limited to:

• PowerPoints;
• lesson plans;
• worksheets;
• PDFs;
• videos;
• audio files;
• games;
• texts;
• graphics;
• assessments;
• dashboards;
• learning pathways;
• digital resources.

“Subscription” means a paid or trial licence granting access to the Platform.

3. Access to the Platform

Access to the Platform is provided only to authorised users associated with an active subscription or approved trial.

Users agree that:

• login details must remain confidential;
• accounts must not be shared with unauthorised individuals or organisations;
• access is limited to the duration and scope of the applicable subscription or trial.

Gramacri reserves the right to:

• suspend;
• restrict;
• investigate;
• or terminate access

where there is reasonable suspicion of:

• unauthorised sharing;
• misuse;
• copyright infringement;
• breach of these Terms;
• suspicious login activity;
• or any activity reasonably considered harmful to the Platform or business.

Users are responsible for maintaining the security of their login credentials and devices used to access the Platform.

4. Licence of Use

All Content made available through the Platform is licensed, not sold.

Gramacri grants subscribing schools and authorised users a limited, non-exclusive, non-transferable and revocable licence to use the Content strictly for internal educational purposes only.

This licence permits:

• classroom teaching;
• lesson delivery;
• internal educational planning;
• use by teachers employed or engaged by the subscribing school;
• use with pupils of the subscribing school.

No ownership of intellectual property is transferred to the User or School.

5. Restrictions on Use

Users must not:

• share login credentials with unauthorised persons;
• share, distribute, upload or make Content available to non-subscribers;
• upload Content to external websites, shared drives, social media platforms, marketplaces or third-party learning platforms;
• use the Content in schools or organisations not covered by the subscription;
• copy, reproduce, resell, sublicense or commercially exploit the Content;
• remove copyright notices, branding or watermarks;
• use automated systems, scraping tools or AI systems to extract, reproduce or analyse the Content without written permission;
• reverse engineer, replicate or reproduce the Platform structure, curriculum structure or educational methodology.

Any unauthorised use may constitute:

• breach of copyright;
• breach of contract;
• and/or infringement of intellectual property rights.

6. Intellectual Property & Copyright

Unless otherwise stated, all Content available on the Platform is the intellectual property of Gramacri Ltd and is protected by UK and international copyright laws.

This includes:

• educational resources;
• lesson structures;
• curriculum sequencing;
• assessment systems;
• platform design;
• dashboards;
• written materials;
• graphics;
• audio;
• videos;
• branding;
• and educational methodology.

7. School Responsibilities & Data Protection

Schools and users remain responsible for ensuring that any personal data uploaded or entered into the Platform is collected, processed and shared lawfully and in accordance with applicable data protection laws.

Where schools upload or manage pupil-related information, the school generally remains the Data Controller and Gramacri acts as a service provider or processor in relation to that data.

Users must not upload excessive, unnecessary or inappropriate personal or sensitive data onto the Platform.

8. Subscription, Payments & Trials

Subscriptions must be paid in accordance with the agreed payment terms.

Unless otherwise stated:

• access begins once a subscription or trial is activated;
• access ends automatically when the subscription expires, is cancelled or terminated;
• Gramacri reserves the right to suspend access for non-payment or breach of these Terms.

Free trials are provided at Gramacri’s discretion and may be modified, withdrawn or refused where reasonably necessary.

Unless otherwise required by law, subscription payments are non-refundable once access to the Platform has been activated.

9. Platform Availability & Technical Issues

While Gramacri aims to maintain reasonable Platform availability and functionality, uninterrupted, secure or error-free access cannot be guaranteed at all times.

Temporary interruptions may occur due to:

• maintenance;
• updates;
• software issues;
• hosting problems;
• internet outages;
• cyber incidents;
• third-party service failures;
• or circumstances beyond our reasonable control.

Gramacri shall not be liable for temporary unavailability, interruptions, delays, technical errors or loss of access resulting from such circumstances.

Users are encouraged to maintain their own records or backups where appropriate.

10. Acceptable Use

Users agree to:

• use the Platform responsibly, lawfully and professionally;
• respect intellectual property rights;
• avoid behaviour that could damage, disrupt or compromise the Platform;
• avoid attempting unauthorised access to accounts, systems or restricted areas.

Gramacri reserves the right to monitor Platform usage reasonably necessary for:

• security;
• maintenance;
• subscription management;
• compliance;
• and protection of intellectual property rights.

11. Educational Disclaimer

The Content is provided for educational purposes only.

While Gramacri aims to support high-quality language teaching and curriculum delivery:

• specific learning outcomes cannot be guaranteed;
• schools and teachers remain responsible for lesson delivery, safeguarding, supervision, differentiation, assessment and educational decision-making.

Gramacri does not replace professional teaching judgement.

12. Limitation of Liability

To the maximum extent permitted by law:

• Gramacri shall not be liable for indirect, consequential or business-related losses;
• Gramacri shall not be responsible for misuse of the Platform or Content by users;
• Gramacri shall not be liable for losses arising from unauthorised account sharing or failure to maintain login security.

Subject to applicable law, Gramacri’s total liability arising in connection with the Platform or Subscription shall not exceed the total subscription fees paid by the relevant User or School during the preceding 12 months.

Nothing in these Terms excludes liability which cannot lawfully be excluded under the laws of England and Wales.

13. Termination

Gramacri may suspend or terminate access to the Platform immediately where:

• subscriptions expire;
• payment is not received;
• there is breach of these Terms;
• there is suspected misuse, piracy or unauthorised sharing;
• or where reasonably necessary to protect the Platform, users or business interests.

Upon termination:

• all licences immediately end;
• continued use of the Content is prohibited;
• users must cease accessing or distributing the Content.

14. Changes to the Platform or Terms

Gramacri reserves the right to:

• update;
• improve;
• modify;
• suspend;
• replace;
• or discontinue

parts of the Platform, Content, features or services where reasonably necessary.

Gramacri may also update these Terms from time to time.

Updated versions will be published on the Platform or website. Continued use of the Platform following updates may indicate acceptance of the revised Terms.

15. Force Majeure

Gramacri shall not be liable for delay or failure in performing obligations where such delay or failure results from events beyond its reasonable control, including but not limited to:

• internet outages;
• hosting failures;
• software failures;
• cyber incidents;
• industrial action;
• acts of God;
• natural disasters;
• war;
• pandemics;
• government restrictions;
• or telecommunications failures.

16. Governing Law

These Terms are governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
