GRAMACRI – TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern the use of the Gramacri platform, website, and educational resources. By accessing or using Gramacri, you agree to be bound by these Terms.

1. About Us

Gramacri is an educational provider operated by Gramacri Ltd, delivering Modern Foreign Language (MFL) teaching resources and digital content to schools and educators.

2. Definitions

• “Gramacri” / “we” / “us” / “our” refers to Gramacri Ltd
• “User” refers to any individual accessing the Platform
• “School” refers to an educational institution holding an active subscription
• “Content” refers to all materials available on the Platform, including but not limited to PowerPoints, PDFs, worksheets, videos, audio files, games, texts, graphics, and lesson plans
• “Subscription” refers to a paid licence granting access to the Platform

3. Access to the Platform

Access to the Platform is provided only to subscribing schools and authorised users.

• Login details must not be shared with unauthorised users
• Access is limited to the duration of an active subscription
• Gramacri reserves the right to suspend or terminate access if these Terms are breached

4. Licence of Use (Very Important)

All Content on the Platform is licensed, not sold.

Gramacri grants subscribing schools a non-exclusive, non-transferable, limited licence to use the Content strictly for internal educational purposes only.

This licence allows:

• Use by teachers employed by the subscribing school
• Use with pupils of the subscribing school
• Classroom teaching, lesson delivery, and internal planning

5. Restrictions on Use

Users must not:

• Share, distribute, upload, email, or otherwise make Content available to non-subscribers
• Upload Content to external platforms (e.g. Google Drive, Dropbox, WhatsApp, Facebook, websites, or other LMS platforms)
• Use the Content in other schools or institutions not covered by the subscription
• Modify, adapt, translate, resell, sublicense, or commercially exploit the Content
• Remove copyright notices, watermarks, or branding

Any unauthorised use constitutes a breach of copyright.

6. Intellectual Property & Copyright

All Content available on the Platform is protected by UK and international copyright law.

Unless otherwise stated:

• All Content is © Gramacri Ltd
• All rights are reserved

The structure, organisation, design, and educational methodology of the Content are also protected intellectual property.

7. Ownership of Content

Gramacri retains full ownership of:

• All educational materials
• All lesson plans, unit structures, and learning pathways
• All original texts, images, videos, audio, and interactive content

Nothing in these Terms transfers ownership of intellectual property to the User or School.

8. Termination of Access

Gramacri may suspend or terminate access to the Platform if:

• A subscription expires or is cancelled
• Payment is not received
• There is evidence of misuse, unauthorised sharing, or breach of these Terms

Upon termination:

• All licences immediately end
• Continued use of any Content is strictly prohibited

9. Acceptable Use

Users agree to:

• Use the Platform responsibly and lawfully
• Respect copyright and intellectual property rights
• Ensure login credentials remain secure

Gramacri reserves the right to monitor usage for compliance purposes.

10. Disclaimer

The Content is provided for educational purposes only.

While Gramacri takes care to ensure accuracy and curriculum alignment:

• We do not guarantee specific learning outcomes
• Schools remain responsible for how Content is delivered and assessed

11. Limitation of Liability

To the maximum extent permitted by law:

• Gramacri shall not be liable for indirect or consequential losses
• Gramacri is not responsible for misuse of Content by Users

Nothing in these Terms limits liability for matters that cannot be excluded under UK law.

12. Changes to the Terms

Gramacri may update these Terms from time to time.

Updated versions will be published on the Platform. Continued use of the Platform constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and interpreted in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
